U.S.-based B. Riley Principal Merger, a blank check company backed by financial services company B. Riley Financial, has filed with the Securities and Exchange Commission to secure up to $125 million in an initial public offering.

B. Riley Principal Merger plans to offer 12.5 million units at a price of $10. At $10, B. Riley Principal Merger will command a market value of $161 million.

Each unit consists of one share of common stock and one-half of one warrant to purchase a share of common stock at $11.50.

B. Riley Principal Merger plans to list on the NYSE under the symbol BRPM.U.
